COMMERCIAL LEASE AGREEMENT
This Commercial Lease Agreement (this "Lease") is entered into and effective as of ________________ between ________________ ("Landlord") and ________________ ("Tenant").
1. PARTIES. This Lease is made between ________________, as Landlord, and ________________, as Tenant. Each person or entity signing as Tenant is jointly and severally responsible for all obligations under this Lease.
2. PREMISES. Landlord leases to Tenant the commercial premises located at ________________ (the "Premises"), to be used solely for the following purpose: ________________. Tenant shall not change the use of the Premises without Landlord's prior written consent.
3. TERM. The term of this Lease begins on ________________ and ends on ________________. Tenant shall surrender the Premises at the end of the term in good condition, ordinary wear and tear excepted, and shall remove Tenant's trade fixtures and property.
4. BASE RENT. Tenant shall pay base rent of $ ________________ per month, due in advance on day ________________ of each month, without demand, deduction, or offset except as allowed by law.
5. LEASE STRUCTURE AND OPERATING EXPENSES. This Lease is a ________________. In addition to base rent, Tenant's responsibility for operating expenses is as follows: ________________. Landlord may reasonably estimate and reconcile such amounts on a periodic basis.
6. SECURITY DEPOSIT. Tenant shall pay a security deposit of $ ________________ before taking possession. Landlord may apply the deposit toward unpaid rent, unpaid expenses, or damage beyond ordinary wear and tear, and shall return any balance as required by state law.
7. USE AND COMPLIANCE. Tenant shall comply with all laws, zoning rules, and reasonable rules of the property, and shall obtain and maintain all licenses and permits required for its business. Tenant shall not create a nuisance or hazardous condition on the Premises.
8. UTILITIES AND SERVICES. Responsibility for utilities and services is as follows: ________________. Tenant shall place all Tenant-paid accounts in Tenant's name as of the start date.
9. MAINTENANCE, REPAIRS, AND IMPROVEMENTS. Tenant shall keep the interior of the Premises in good repair and clean condition. Improvements and alterations are governed as follows: ________________. Landlord shall maintain the structure, roof, and common areas unless this Lease assigns those obligations to Tenant.
10. INSURANCE AND INDEMNITY. Tenant shall maintain the following insurance throughout the term: ________________, and shall name Landlord as an additional insured where required. Tenant shall indemnify Landlord against claims arising from Tenant's use of the Premises, except to the extent caused by Landlord's negligence.
11. ASSIGNMENT AND SUBLETTING. Tenant shall not assign this Lease or sublet all or part of the Premises without Landlord's prior written consent. Any transfer made without consent is void and is a breach of this Lease.
12. LANDLORD ENTRY. Landlord may enter the Premises at reasonable times to inspect it, make repairs, or show it to prospective tenants or buyers after giving reasonable notice, except in an emergency where no notice is required.
13. DEFAULT AND REMEDIES. If Tenant fails to pay rent or expenses, or breaches any term of this Lease and does not cure within the time allowed by law, Landlord may pursue all remedies available, including termination of the Lease, recovery of possession, and recovery of unpaid amounts. A late charge of ________________ applies to overdue rent.
14. GOVERNING LAW. This Lease is governed by the laws of the State of ________________. If any provision is found unenforceable, the remaining provisions stay in full effect. This Lease is the entire agreement between the parties regarding the Premises and may be changed only in writing signed by both parties.
